These Terms of Service ("Terms") constitute a legally binding agreement between you ("Client") and Airing Private Limited ("Company," "we," "us," or "our") regarding your use of our technology services.

By engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these terms, please do not proceed with using our services.

Important: These Terms apply to all our services including custom development, consulting, maintenance, and support. Specific project details will be outlined in separate Service Agreements or Statements of Work.

  • Comply with all applicable laws and regulations
  • Pay invoices according to agreed payment terms

Prohibited Uses

  • Illegal activities or violation of any laws
  • Infringement of intellectual property rights
  • Harassment, abuse, or harmful behavior
  • Transmission of malware, viruses, or malicious code
  • Unauthorized access to systems or data
  • Spam, phishing, or fraudulent activities

Payment Terms

Billing and Payments

  • Project costs are outlined in separate proposals or agreements
  • Payment schedules vary by project (milestone-based or monthly)
  • Invoices are payable within 30 days of receipt
  • Late payments may incur interest charges of 1.5% per month
  • All prices are in USD unless otherwise specified
  • Additional work beyond scope requires written approval

Refund Policy

  • Refunds are considered on a case-by-case basis
  • Work completed in good faith is non-refundable
  • Subscription services may be cancelled with 30 days notice
  • Refund requests must be submitted in writing within 30 days

Intellectual Property

Ownership Rights

  • Client owns custom code and applications developed specifically for them
  • We retain rights to our proprietary tools, methodologies, and frameworks
  • Third-party software and libraries remain owned by their respective owners
  • We may use general knowledge and experience gained in future projects
  • Client grants us permission to use their logo/name as a reference (unless restricted)
  • Any improvements to our existing tools remain our property

Data Protection & Confidentiality

Data Security

  • We implement industry-standard security measures
  • Client data is stored securely and accessed only by authorized personnel
  • We maintain confidentiality of all client information
  • Data backups are performed regularly with encryption
  • We comply with applicable data protection regulations (GDPR, etc.)
  • Clients are responsible for their own data backup and security

Confidentiality Agreement

  • Both parties agree to maintain confidentiality of sensitive information
  • Confidential information includes technical data, business plans, and strategies
  • Confidentiality obligations survive termination of the agreement
  • We may disclose information if required by law or court order

Liability and Warranties

Service Warranties

  • We warrant that services will be performed with professional skill and care
  • Software delivered will substantially conform to agreed specifications
  • We do not warrant that software will be error-free or uninterrupted
  • Any implied warranties are limited to the extent permitted by law
  • Our total liability is limited to the amount paid for the specific service
  • We are not liable for indirect, consequential, or punitive damages

Limitation of Liability

  • Our liability for any claim is limited to the fees paid for the affected service
  • We are not responsible for data loss, business interruption, or lost profits
  • Force majeure events (natural disasters, war, etc.) excuse performance delays
  • Clients must notify us of any issues within 30 days of discovery

Termination

Termination by Client

  • Projects may be terminated with 30 days written notice
  • Client remains liable for all work completed up to termination date
  • Final deliverables will be provided upon full payment

Termination by Company

  • We may terminate for non-payment or breach of terms
  • We may terminate with 30 days notice for any reason
  • Immediate termination for illegal activities or security threats

Dispute Resolution

Resolution Process

  1. 1Direct Negotiation: Parties will first attempt to resolve disputes through good faith discussions
  2. 2Mediation: If negotiation fails, disputes will be submitted to mediation
  3. 3Arbitration: Final disputes will be resolved through binding arbitration under Indian Arbitration Act

Jurisdiction: All disputes are subject to the jurisdiction of courts in Sonipat, Haryana, India.

Changes to Terms

Your continued use of our services after the effective date of the updated Terms constitutes acceptance of the changes. If you do not agree to the updated Terms, you may terminate your service agreement.

General Provisions

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely reflects the original intent.

Entire Agreement

These Terms, together with any executed Service Agreements, constitute the entire agreement between the parties and supersede all prior negotiations, representations, or agreements relating to the subject matter.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond their reasonable control, including but not limited to natural disasters, war, terrorism, labor disputes, or government actions.

Assignment

These Terms may not be assigned by the Client without our written consent. We may assign these Terms to any successor entity or in connection with a merger, acquisition, or sale of assets.
